Abstract
The overseas M&A of Chinese enterprises is quickening in recent years，especially in the background of the international financial crisis, and demonstrates some characteristics. The motives of Chinese enterprises'overseas M&A mainly include realizing the transformation and upgrading of industries, enhancing the reserve of strategic resources，increasing the utilization benefit of foreign exchange reserves，building national brands， enhancing the ownership of advanced techniques，evading trade barriers，developing market competitiveness，etc. But the real effect of M&A may not always be positive. So it is important to perfect the strategy of "go overseas" in the aspects of enterprise management, government role, social intermediary, capital market, talent team and so on
